Based on the educational purpose of "cultivate the whole children with an international perspective", the ideal of serving early childhood education, and the sincere willingness to cooperate, both parties have formulated the following consultation terms as guidelines for mutual compliance.
Article 1 Cooperative Kindergartens
1. Based on this agreement, Party B only provides Party A with consulting services for the following subject kindergartens.

2. The term of this consulting service is ____year, starting from_____ (year)________( month)______ (day) to _____(year)_______ (month)_______ (day).
3. Six months before the expiration of this agreement, either party shall inform the other party in writing whether to renew the contract after the expiration. If both parties agree to renew the agreement, a new consulting service agreement must be signed within 30 days before the expiration of this agreement.
Article 2 Consultancy Service Fee and Payment
1. The consulting service fee for this period is RMB_____ yuan, capitalised as RMB______________ yuan.
2. Party A shall pay the consulting service fee in full to Party B's designated account within five working days from the date of signing the Agreement.
3. Party B shall start all the service projects in accordance with the starting date of the agreed service on the date of receipt of Party A's consulting service fee.

Article 3 Dadi Early Childhood Education Model
1. The kindergarten designated by Party A shall use Party B's logo as a standard.
2. Party B provides relevant regulatory documents.
3. During the validity period of this agreement, Party B will provide various forms of training to the kindergarten designated by Party A.
4. Party B opens AI network service tools to the kindergarten targeted by Party A.
5． The kindergarten targeted by Party A obtains the right to use ABCmouse.
6． Party B opens a variety of communication tools for the kindergarten targeted by Party A to conduct work communication and interaction with the headquarters.
Article 4. Other agreements
1. During the performance of this agreement, modifications to the terms of this agreement must be agreed upon by both parties and a supplementary agreement must be signed jointly to be effective.
2. If either party fails to perform or fully performs its obligations under this Agreement and fails to make corrections despite a written warning from the non-defaulting party, it shall be deemed a breach of contract. The other party shall have the right to terminate this Agreement and require the defaulting party to bear the consequences of the breach of contract. The non-breaching party’s economic losses.
3. No party shall be responsible for any failure or delay in performance due to factors beyond the control of that party. During the occurrence of force majeure, the relevant party may suspend the performance of relevant obligations, but shall promptly provide the other party with written notice.
4. The electronic version of this agreement has the same legal effect. It shall take effect from the date when Party A and its authorized representative sign (or seal) and Party B affixes the official seal or contract seal.
